Partnership Approval Policy
Upon a motion made by Tom Graham and seconded by Roger Clifton, the Board unanimously voted on 23 June 2002 to modify the process for approval between Board meetings of any partnership agreement so that such an agreement would be considered approved as soon as the partnership accomplishes all of the following::
- The proposed partner meets the Board-approved selection criteria
- The proposed shipment is for a country to which it is legal to be shipped from WCE's headquarters country (otherwise it needs to be brought to a Board meeting)
- The plan is recommended by the president
- The implementation plan and draft list of schools has been sent via e-mail to all members of the Board of Directors
- Correspondence from any Board member that opposes or questions this partnership is immediately shared with all members of the Board by e-mail
- At least 2/3 of the members of the Board of Directors vote to approve (Currently, this means 9 "yes" votes out of the present 13 members of the Board )
This Board policy does not require an amendment to the WCE by laws as it does not modify the powers of the Board of Directors - only the internal process for taking actions with Board-established criteria, policy, budget, and workplan.
Shipments, plans, and partnerships are also approved by simple majority votes within meetings of the Board of Directors.
